1.1 The HuaYoung User Agreement (this "Agreement") is an agreement entered into between you and Shenzhen ThinkonCloud Technology Co., Ltd. ("ThinkonCloud") regarding your use of the services provided by HuaYoung. "HuaYoung" refers to the HuaYoung website operated by ThinkonCloud and its client applications, with the domain szdamai.com. "User" refers to the individual or organization that enjoys the services of HuaYoung, and is more often referred to as "you" or "User" in this Agreement. This Agreement is a prerequisite for your use of the services provided by HuaYoung. You are not authorized to use any of the services provided by HuaYoung unless you accept the terms of this Agreement. By registering, logging in, viewing, or using the services, you are deemed to have read and agreed to be bound by all the terms of this Agreement.
1.2 ThinkonCloud reserves the right to modify the terms of the Agreement at any time. Once the terms are changed or modified, ThinkonCloud will post a notice of the changes on the relevant pages. If you do not agree to the modifications, you may cancel the services you have obtained and stop using them. If you continue to use the services provided by HuaYoung, you are deemed to have accepted all modifications to this Agreement.
1.3 Please read each term carefully and fully understand it before choosing to accept or reject. When enjoying the services provided by HuaYoung (the "Service"), you must fully and strictly comply with the terms of this Agreement.
2.1 Service Access
2.1.1 You must provide valid information to register as a HuaYoung user, and you must ensure that the information you submit is true and accurate. Otherwise, any direct or indirect disputes arising therefrom and any liability or compensation involved shall be borne by you alone.
2.1.2 You may purchase the Service directly through the HuaYoung website or its client applications.
2.1.3 If you obtain the Service through a third party that is not authorized by ThinkonCloud, ThinkonCloud cannot guarantee that the Service will function properly and shall not be liable for any losses you may suffer as a result.
2.2 Payment and Refunds
2.2.1 When purchasing the Service, you must follow the relevant process to submit your order requirements and confirm your order information. Once an order is submitted, the order information, company information, invoice information, and any other details cannot be modified. At the same time, you must complete payment in a timely manner in strict accordance with the requirements.
2.2.2 You may purchase the Service through various payment methods that exist now or may be added in the future, including but not limited to: bank transfer, WeChat Pay, Alipay, or other third-party payment methods.
2.2.3 ThinkonCloud will issue and send out the invoice within 7 working days after you submit an invoice request.
2.2.4 The pricing of the Service shall be based on the detailed pricing displayed on the HuaYoung website. ThinkonCloud reserves the right to change the above pricing based on its own business development needs, but ThinkonCloud will, in light of actual operating conditions, offer different pricing preferences on renewal and upgrades to users who have purchased the Service and continue to maintain a valid subscription at different stages.
2.2.5 If a refund is needed, you may submit a refund request to online customer service within 3 working days after payment. Otherwise, no refund request will be accepted after the deadline. Within 7 working days after both parties reach a friendly consensus through negotiation, ThinkonCloud will refund the agreed amount to you.
3.1 Your account is limited to use by the individual or organization that applied for or purchased the Service. Gifting, lending, renting, transferring, or selling the account is prohibited. Otherwise, ThinkonCloud reserves the right to revoke the HuaYoung user status of the transferring or transferee account without notice, and any losses arising therefrom shall be borne by you alone.
3.2 You are solely responsible for properly and correctly keeping, using, and maintaining the account, account information, and account password that you obtain from HuaYoung. You must take the necessary and effective confidentiality measures for your account information and account password. ThinkonCloud shall not be liable for any losses caused by the leakage of your account password or by your improper keeping, use, or maintenance that is not attributable to ThinkonCloud.
3.3 ThinkonCloud shall not be liable for any losses caused by the acts or omissions of any third party, including but not limited to payment services, network access services, and the infringement of any third party.
3.4 Unless permitted by law or with the written permission of ThinkonCloud, you must not engage in any of the following activities when using the Service:
3.4.1 Reverse engineering, reverse assembling, or reverse compiling the Service, or otherwise attempting to discover the source code of the Service;
3.4.2 Using, renting, lending, copying, modifying, linking, reposting, compiling, publishing, or creating mirror sites of any content in which ThinkonCloud holds intellectual property rights;
3.4.3 Interfering with the Service and its components, modules, or data by yourself or by authorizing any other person or third-party software;
3.4.4 Harming the interests of any third party, collecting third-party information through the Service, damaging or stealing third-party accounts, or infringing the legitimate rights and interests of any third party, including but not limited to privacy, intellectual property, and property rights;
3.4.5 Any other acts not authorized by ThinkonCloud.
4.1 You understand and agree that, in view of the special nature of network services or the adjustment and changes of national policies and industry regulations, ThinkonCloud reserves the right to change, suspend, or terminate part or all of the services in accordance with the overall operation of the Service or relevant operating specifications and rules. ThinkonCloud will notify you through the notification methods set out in this Agreement.
4.2 You understand and agree that, in order to provide you with better services, ThinkonCloud reserves the right to regularly or irregularly perform inspection, maintenance, and upgrades of the platform or related equipment that provides the Service. Such operations may cause the relevant service to be interrupted or suspended within a reasonable period of time. If you suffer any losses as a result, you agree to waive your right to pursue liability against ThinkonCloud.
4.3 You understand and agree that ThinkonCloud's services are provided in accordance with the current state of available technology and conditions. ThinkonCloud will make its best efforts to provide the services to you and to ensure their continuity and security; however, ThinkonCloud cannot guarantee that the services will be entirely free of defects, nor can it always foresee and prevent legal, technical, and other risks, including but not limited to force majeure, viruses, trojans, hacker attacks, system instability, communication line failures, third-party service defects, and government actions, which may lead to service interruption, data loss, and other losses and risks. Therefore, you also agree that, even if the services provided by ThinkonCloud contain defects, such defects are unavoidable at the current level of industry technology and shall not be deemed a breach of contract by ThinkonCloud. If you suffer any loss of data or information as a result, you agree to waive your right to pursue liability against ThinkonCloud.
4.4 You understand and agree that, in the course of using the Service, you may encounter force majeure and other risk factors that cause the Service to be interrupted. Force majeure refers to objective events that cannot be foreseen, overcome, or avoided and that have a material impact on one or both parties, including but not limited to natural disasters such as floods, earthquakes, plagues, and storms, as well as social events such as wars, turmoil, and government actions. In such cases, ThinkonCloud will endeavor to coordinate with the relevant parties and perform timely repairs. If you suffer any losses as a result, you agree to waive your right to pursue liability against ThinkonCloud.
4.5 You understand and agree that ThinkonCloud shall not bear any legal liability for service interruption or obstruction caused by any of the following circumstances: (1) damage caused by computer viruses, trojans, other malicious programs, or hacker attacks; (2) failure of your computer software, system, hardware, or communication line; (3) your improper operation; (4) your use of the Service through means not authorized by ThinkonCloud; (5) any other circumstances beyond ThinkonCloud's control or reasonable foresight.
5.1 Protecting user information security is a fundamental principle of ThinkonCloud. ThinkonCloud will take reasonable measures to protect your information. ThinkonCloud uses professional encrypted storage and transmission methods to ensure the security of your information.
5.2 ThinkonCloud will establish a sound management system using various security technologies and procedures to protect your information from unauthorized access, use, and disclosure.
5.3 ThinkonCloud will not disclose your information to any company, organization, or individual other than ThinkonCloud without your consent, except as otherwise required by laws and regulations.
5.4 For the Service, ThinkonCloud guarantees that it does not contain any features that intentionally damage your computer resources (including documents, programs, and other data). ThinkonCloud and its agents and sales personnel shall not be liable for any loss of profits, loss of availability, business interruption, or any indirect, special, incidental, or consequential damage suffered by you in the course of using the Service, or for any claims by any other party, even if ThinkonCloud has been advised in advance of the possibility of such damage.
5.5 You fully understand that the products or services (including IP resources) provided by ThinkonCloud are subject to strict supervision under national laws and regulations. Therefore, when using the products or services (including IP resources) provided by ThinkonCloud, you are strictly prohibited from using them for any pornographic, gambling, or other activities prohibited by national laws and regulations. Upon discovery of any such activity, ThinkonCloud reserves the right to immediately suspend the relevant services, including but not limited to reclaiming IP resources, blocking user accounts, and freezing team account balances.
6.1 The ownership of the HuaYoung products involved in the Service and the intellectual property rights in the related software belong to ThinkonCloud.
6.2 The intellectual property rights in the information content provided by ThinkonCloud in the Service (including but not limited to web pages, text, images, audio, video, and charts) belong to ThinkonCloud. Unless otherwise stated, the copyrights, patent rights, and other intellectual property rights in the software on which ThinkonCloud relies to provide the Service belong to ThinkonCloud.
6.3 The commercial identifiers used by ThinkonCloud in the Service, including the "HuaYoung" name, the HuaYoung icon, and the LOGO, and the copyrights or trademark rights therein, belong to ThinkonCloud. The above and any other intellectual property rights lawfully held by ThinkonCloud are protected by law. Without the written permission of ThinkonCloud, you must not use them in any form or create derivative works in relation thereto.
6.4 You are only granted the right to use the Service in accordance with this Agreement. All rights, including copyrights and patent rights, in the technical interfaces related to the Service belong to ThinkonCloud. Without the written permission of ThinkonCloud, you must not use them in breach of this Agreement or in violation of the law, nor may you sell, transfer, or license ThinkonCloud's code, technical interfaces, or development tools to any organization or individual.
7.1 ThinkonCloud may deliver to you various rules, notices, prompts, and other information relating to the Service by one or more of the following means: website announcements, website prompts, email, SMS, WeChat messages, and in-site messages sent within the management system of the Service account you have registered. Once such information is published or sent by ThinkonCloud through any of the foregoing means, you are deemed to have received and agreed to it, and it shall be binding on you. If you do not accept it, please notify ThinkonCloud in writing; otherwise, you are deemed to have received and agreed to it.
7.2 If, due to incorrect information such as email address, mobile phone number, WeChat account, or mailing address provided by you, you fail to receive the relevant rules, notices, or prompts, you agree that you are nonetheless deemed to have received such information and to be bound by it, and you shall be solely responsible for all consequences and liabilities arising therefrom.
8.1 Except for the termination circumstances set out in this Agreement, this Agreement shall remain in force indefinitely.
8.2 Circumstances of termination:
8.2.1 If you notify ThinkonCloud in writing that you do not accept this Agreement or any modification thereto, ThinkonCloud reserves the right to terminate the Service to you at any time.
8.2.2 If you are unable to continue using the Service or ThinkonCloud is unable to provide the Service due to force majeure, ThinkonCloud reserves the right to terminate this Agreement at any time.
8.2.3 If any other termination conditions set out in this Agreement occur or are met, ThinkonCloud reserves the right to terminate the Service to you at any time.
8.2.4 Either party declares bankruptcy or enters into liquidation or dissolution proceedings.
8.2.5 Where new terms are required, the parties may sign a supplementary agreement through friendly negotiation. The supplementary agreement shall have the same legal effect as this Agreement.
8.2.6 If, during the term of this Agreement, new laws, regulations, or relevant documents of competent national authorities or telecommunications operators are issued, or the policy environment changes, resulting in a fundamental change to the basis on which this Agreement was signed and performed, either party may notify the other party to negotiate amendments to this Agreement. If no agreement is reached, either party may terminate this Agreement by giving the other party 15 days' prior notice without bearing any liability.
8.2.7 If this Agreement or the Service is terminated for any reason, ThinkonCloud may retain or delete any of your account data or any other information that you have stored on HuaYoung's servers in connection with your use of the Service, including any data you have not completed before the termination of the Service.
8.2.8 If this Agreement or the Service is terminated for any reason, you shall be solely responsible for backing up your data and other information and for handling related matters with your users.
8.3 Service Termination and Post-Termination Handling
8.3.1 Service termination means that you fail to complete the renewal procedures upon expiry of the Service and ThinkonCloud terminates the provision of the Service to you.
8.3.2 You should complete the renewal procedures before the Service expires. Otherwise, ThinkonCloud reserves the right to terminate your use of the Service from the date of expiry of your Service term without notifying you.
8.3.3 After the Service ends, ThinkonCloud reserves the right to clear at any time all data and information generated by you in the course of using the Service, and shall not be liable for any losses you may suffer as a result. If you are unable to complete the renewal procedures upon expiry of the Service or decide not to continue using the Service after expiry, please back up the relevant data in advance by yourself.
